Premier Healthcare Solutions, Inc., inclusive of its affiliates and subsidiaries, (collectively “Premier”) hereby requests that _____________________ (“Grantor”) grant to Premier the permission and right to use testimonials and certain information about Grantor which may highlight Grantor’s use of Premier products and services.
By signing this release (the “Release”), Grantor and Premier hereby agree as follows:
1. Grantor hereby grants to Premier and its affiliates, and their respective employees, representatives, agents, successors and assigns (the “Premier Parties”), the royalty-free worldwide non-exclusive right and permission to use, broadcast, copyright, distribute and/or publish (collectively, “Use”) the Descriptions (as defined below), in whole or in part, in all forms and media (print and non-print, electronic, multimedia, websites, social media platforms or otherwise), for any approved business purpose whatsoever, and to reproduce the same through any media.
2. Grantor hereby grants to the Premier Parties in connection with Use of the Descriptions the unrestricted right and permission to use and publish the Names (as defined below).
3. As used herein, “Descriptions” shall include testimonials, descriptive text, trademarks, photographic images (including Grantor’s likeness and image displayed on the LinkedIn profile of Grantor), videographic images, sound recordings and/or success stories provided to Premier by Grantor. “Names” shall mean Grantor’s name and any other entity or individual names associated with Grantor that are contained in the Descriptions.
4. If Grantor objects to any specific Use by Premier of the Descriptions or Names, Premier shall thereafter make reasonable best efforts to discontinue such Use (except that Premier shall not be required to cause third parties to discontinue the public dissemination of materials into which such Use has been incorporated).
5. Grantor certifies that: (a) Grantor is fully entitled to provide the Descriptions and Names to Premier, (b) Grantor possesses the unrestricted right and power to grant the permissions herein, and (c) the grants and agreements set forth above are not in violation of any agreements or restrictions to which Grantor may be subject, whether imposed by law, institutional policies or procedures or otherwise.
6. Grantor releases and agrees to hold harmless each of the Premier Parties, and any person or entity acting on behalf of any of them, from and against liability arising out of Premier’s authorized Use of the Names and Descriptions.
7. Grantor agrees that this Release constitutes the entire agreement between Grantor and Premier, and supersedes any prior agreement in each case relating to the subject matter hereof, and shall be construed as an agreement under the laws of the State of Delaware, without regard to the conflict of laws principles thereof.
8. Notwithstanding any contrary terms and conditions in place in any form between Premier, Grantor, and/or any of Grantor’s respective affiliates, Grantor will review and approve all final proposed Uses of the Descriptions prior to publication. Such approval may be through email communication.
